End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User," "you," or "your") and Venio Mobile ("Venio," "we," "us," or "our") governing your use of the Venio Mobile mobile application, software, portal, SIM‑based tools, and all related digital services (collectively, the "App"). By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree to the terms of this EULA, do not install or use the App.
1. License Grant
Venio grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on a compatible device that you own or control.
- Access and use the App solely for your personal, non-commercial use or as permitted under your Venio service plan.
- Receive updates, enhancements, and patches as provided by Venio.
You are not granted any ownership rights in the App.
2. Restrictions on Use
You agree that you will not:
- Copy, modify, distribute, translate, or create derivative works of the App.
- Reverse engineer, decompile, attempt to extract source code, or bypass security mechanisms.
- Rent, lease, sublicense, sell, or transfer the App to any third party.
- Use the App to violate any laws, engage in fraudulent activity, or interfere with network performance.
- Use automated scripts or software to access or interact with the App.
- Remove, alter, or obscure any proprietary notices, trademarks, or labels.
Any violation of these restrictions may result in immediate termination of this EULA.
3. Account Registration & Security
To use certain features of the App, you may need to create an account. You agree to:
- Provide accurate and complete information.
- Maintain the confidentiality of your login credentials.
- Notify Venio immediately of any unauthorized access or security breach.
You are responsible for all activities performed using your account.
4. Ownership & Intellectual Property Rights
The App, including all content, graphics, user interfaces, software, design, documentation, trademarks, logos, and data, is the property of Venio or its licensors and is protected under copyright, trademark, and other intellectual property laws.
This EULA does not grant you any rights to intellectual property except for the limited license outlined in Section 1.
5. Updates, Modifications & Maintenance
Venio may provide updates, patches, bug fixes, or enhancements to improve the App. You acknowledge that:
- Updates may be pushed automatically.
- Some functions may become unavailable during maintenance.
- Continued use of the App after an update constitutes acceptance of the updated version.
Venio is not obligated to maintain or support outdated versions of the App.
6. Third‑Party Services & Integrations
The App may integrate with third‑party services such as:
- Payment processors
- Identity verification tools
- Analytics and diagnostic tools
- Telecommunications partners
Venio is not responsible for the terms, privacy practices, or content of third‑party services. You agree to comply with their respective policies where applicable.
7. User Content & Submissions
If you submit feedback, suggestions, error reports, or other materials ("User Content"), you grant Venio a:
- Perpetual
- Irrevocable
- Royalty‑free
- Worldwide
- Sub‑licensable license
to use, modify, reproduce, and distribute such content for any purpose. You agree that submitted content does not infringe any third‑party rights.
8. Termination
This Agreement is effective until terminated.
Venio may terminate this Agreement immediately if you:
- Breach any provision of this EULA.
- Misuse the App or violate applicable laws.
- Engage in fraudulent or abusive behavior.
Upon termination:
- You must discontinue all use of the App.
- You must delete all copies of the App from your devices.
- Certain sections, including intellectual property, disclaimers, and limitations of liability, will survive termination.
9. Disclaimers
The App is provided on an “as-is” and “as-available” basis. Venio makes no warranties, express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Compatibility with devices or operating systems
- Uninterrupted or error‑free operation
Venio does not guarantee that:
- The App will always function without delays or disruptions.
- Data transmitted through the App will remain completely secure.
- The App will be free from viruses or harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, Venio is not liable for:
- Loss of data or business
- Loss of profits or revenue
- Service interruptions
- Device damage or performance issues
- Unauthorized access to or alteration of your transmissions
- Indirect, incidental, special, consequential, or punitive damages
Venio’s total liability shall not exceed the amount paid by you for the App or Services in the preceding twelve (12) months.
11. Indemnification
You agree to indemnify and hold harmless Venio and its affiliates, employees, directors, and partners from any claims, damages, liabilities, and expenses arising out of:
- Your misuse of the App
- Violation of this EULA
- Violation of applicable laws or regulations
12. Governing Law
This Agreement is governed by the laws of the jurisdiction in which Venio Mobile operates, without regard to conflict-of-law principles.
Any disputes shall be resolved through:
- Internal dispute resolution with Venio support
- Binding arbitration or small‑claims proceedings (where applicable)
13. Changes to This Agreement
Venio may modify this EULA at any time. Updated versions will be posted within the App or on our website with a revised “Effective Date.”
Continued use of the App after changes are published constitutes acceptance of the updated terms.
